ENTERTAINMENT SOCIETY OF GOA

(A Society registered under the Societies Registration Act 1860

as extended to the State of Goa)

 

Memorandum of Association

 

(1)                 The name of the Society is .Entertainment Society of Goa..

(2)                 The Registered Office of the Society shall be situated at Old GMC Complex, Panaji- Goa.

(3)                 The aims and objectives for which the Society is established are: -

(i)       To frame entertainment policy for the State of Goa and implement the same with the help of various agencies.

(ii)     To advise the Government of Goa on various policy issues related to promotion of entertainment industry in the State of Goa on a long term basis.

(iii)    To make the State of Goa the International Entertainment Hub and to give global visibility and recognition to the State of Goa;

(iv)   To leverage the International Film Festival as an anchor point to create permanent facilities that will enable the State of Goa to create a niche for itself in the realm of World Film Festivals and become known for its uniqueness and distinct character;

(v)     To organize and host International Film Festival in the State of Goa, on par with the leading film festivals of the world and hold and organize world class entertainment events, exhibitions and expositions etc;

(vi)   To earn revenue on a long term basis from ventures in film entertainment and leisure projects and also to suggest measures to increase revenue through direct and indirect taxes, levies and foreign exchange inflow and to bring about world wide recognition to the State of Goa as an ultimate tourism and entertainment destination and maximize the State of Goa.s potential in this regard;

(vii)  To develop infrastructure to meet the needs of International Film Festival and bring in global investment, to create an environment which will lead to increased employment opportunities for the locals like cameramen, T.V. technicians, trolley operators, curators, musicians, singers, dancers, dramatists etc;

(viii)To build multiplex, cinema halls, media-centres, screening rooms, auditoriums, comprehensive infrastructure facilities, maintain them and provide services for telecommunications, transportation, parking, banking, internet connectivity, power supply, water, sewerage, sanitation etc for holding other International Event / Festival and other similar type of events;

(ix)    To set up international film city, studios, auditoriums with suitable capacities and training centres or a film institute to provide training to the prospective film makers, artists, directors, technicians and other related trades and set up film market or bazaar;

(x)      To renovate building, houses and residential accommodation tomeet the requirements of the film festival and to conceptualize and develop properties for the Government of Goa for the purpose of entertainment industry by bringing in best companies for facilitation of investment and land development programmes and leisure development projects;

(xi)    To conserve and improve the heritage buildings to develop the water front, pedestrians plaza;

(xii)   To conduct publicity campaigns through print media internet, videos and films and other new medium of communication that internet, videos and films and other new medium of communication that integrates information and marketing on a global level;

(xiii) To involve in networking and relation building in the interest of entertainment industry in the State of Goa and to adopt innovative ideas for improving the organization of  film festival every year;

(xiv) To give awards, prizes and certificates to selected films and artists in various categories like directors, producers, photographers, lyrics, musicians, acting, artists etc;

(xv)  In general to do such things or undertake to do such other things from time to time as shall be deemed necessary for the promotion of the ideas and attainment of the objectives of the Society to do all such acts and things, whether incidental to the power aforesaid or not, as may be required in order to further the objectives of the Society;

(xvi) The income and property of the Society, however, shall be used for the promotion of objectives of the Society.

(xvii)     The society Shall maintain a fund to which shall be credited :-

a)       all moneys received from the local or Central Government;

b)       all moneys received in any other manner or from any other source;

(xviii)          To receive grants from the State and the Central Government or any other Institutions for maintenance and administrative set up of the Society, incur expenditure for the overall development related to development of infrastructure connected with entertainment industry.

(xix)              To accept donations / contributions from any sources and utilize them and for achieving the objectives of the Society and to strengthen its financial position.

 

(4) The Governing Body of the Society shall be constituted under the Rules of the said Society. The first members of the Governing Body to whom, by the Rules of the Society, the management of its affairs is entrusted, are as follows:-

ENTERTAINMENT SOCIETY OF GOA

(A Society registered under the Societies Registration Act 1860

as extended to the State of Goa)

 

 

CHAPTER- 1

 

1.  Name, head office and jurisdiction of the society-

a.  The name of the Society shall be .Entertainment Society of Goa. registered under the Societies Registration Act, 1860 as extended to the State of Goa, with the headquarters located at old GMC Complex, Panaji Goa.

b.  The Society shall function through its General Body, Governing Body and Office bearers, officers and servants appointed in accordance with the rules and regulations.

c.  Its jurisdictions extends to the whole of the State of Goa.

 

2.     Definitions

        Save and except where the meaning is repugnant to the context-

a.        .Society. means the Entertainment Society of Goa as constituted under the Societies Registration act, 1860 as extended to the State of Goa;

  1. .entertainment. includes any activity related to arts, films, television, radio, music, dance, concerts, theatre and associated events;
  2. .Chairman. means the Chairman of the General body and Governing Body of the Society.
  3. .General Body. means the General Body of the Society;
  4. .Governing Body. means the Governing Body of the Society;
  5. .Government. means the Government of the State of Goa;
  6. .Member. means duly appointed or nominated member of the General Body or Governing body of the Society.
  7. .Official Member. means any official member who becomes a member of Society by designation such as Secretary (Information) Government of Goa;
  8. .Non-Official Members. means those members who are not official members;
  9. .Rules and Regulations. means rules and regulations of the Society;

 

7.        Affiliation:-

a.        Any registered local body or Association or Non Government Organization that may help or contribute to fulfilling the objectives of the Society shall be eligible to become an affiliated member of the Society.

b.       An application for affiliated membership of the Society shall be made in writing and such particulars shall be furnished as may be required by the Society.

c.        An application for affiliated membership shall, after recommendation by the Governing body, be approved by the General Body prior to grant of membership.

d.       The membership fee for affiliation shall be such as may be determined by the General body of the Society.

 

8.        Aims and objectives of the Society:-

(1)     The Society is established with the following aims and objectives:-

a.        To frame the entertainment policy for the State of Goa and implement with the help of various agencies.

b.       To advise the Government of Goa on various policy issues related to promotion of entertainment industry in the State of Goa on a long-term basis.

c.        To make the State of Goa the International Entertainment Hub and to give global visibility and recognition to the State of Goa.

p.       The Income and property of the Society, however, shall be used for the promotion of the objectives of the society.

q.       The Society shall maintain a fund to which shall be creditied:- (a) all moneys received from the local and Central Government. (b) all moneys received in any other manner or from any other source.

CHAPTER II

 

5. CONSTITUTION, POWER AND FUNCTIONS OF THE GENERAL BODY OF THE SOCIETY

1.  The General body of the Society shall consist of the following members:-

a.        The Chief Minister of the State of Goa shall be ex-officio chairman of the General Body.

b.       Vice Chairman  to be appointed by the Government

c.        Member Secretary to be appointed by the Government.

d.       Not more than 12 representatives from Government Departments including two from Departments of the Government of India to be appointed by the Government.

e.        Not more than three persons from other similar societies or autonomous bodies to be nominated by the Government.

f.         Not more that three persons having proven record in the field of films to be nominated by the Government.

g.       Not more than three eminent persons in the field of entertainment to be nominated by the Government.

h.       Any five persons to be appointed by the Government who are in its view worthy of helping the Society to realize its objectives.

2.   The Tenure of the General Body

 

The tenure of the General body shall ordinarily be for a period of three years. However, the Government shall have the authority to terminate the membership of any of the members including Vice Chairman and Member Secretary at any time. The Chairman, Vice Chairman and Member Secretary and Members shall be eligible for re-appointment.

 

3.  Powers and functions of General Body of the Society:

    The General body of the Society shall have the following powers and functions:-

a.        To frame rules and regulations, etc. and advice the Government to implement the objectives of the Society through the administrative machinery of the society.

b.       To take policy decisions for the implementation of the aims and objectives of the Society and any other programmes / film festivals etc, financed by the Government and / or the Central Government.

c.        To pass and approve the annual financial statement of the Society every year.

d.       To pass resolutions on financial and administrative matters for the smooth functioning of the Society.

e.        To frame various rules, like staff recruitment rules, traveling allowance rules, other rules necessary for smooth functioning administration of the Society.

f.         To appoint auditor for the audit of the Society and fix renumuration of the auditor.

g.       To take decision to acquire any immovable property.

h.       To accept any donation / gift for the benefit of the Society.

i.         To make administrative decisions to enter into profitable trade or business so as to strengthen the financial position of the Society.

j.         To create posts for functioning of the administration of the Society.

k.        To direct/authorize / delegate Governing Body or Chairman or Member Secretary to excersice any of its powers and functions.

l.         To keep a roll of members giving their addresses and occupations duly signed by every member. If a member changes his address, he shall notify his new address in the roll of member. However, if Member Secretary fails to notify his new address, the address in the roll of members shall be deemed to be his address.

m.      To do all such acts as felt necessary in order to achieve the aims and objectives of the Society.

 

9.        CONSTITUTION POWERS AND FUNCTIONS OF THE GOVERNING BODY

1.        The Governing Body shall consist of the following members:-

a.        Chairman of the General Body shall be ex-officio chairman of the Governing Body.

b.       Vice Chairman to be appointed by the Government from the General Body.

c.        Member Secretary of the General Body shall be ex-officio member secretary of the Governing Body.

d.       Two official members to be appointed by the Government from amongst the official members of the General body.

e.        One non- official member to be appointed by the Government from amongst the non-official members of the General body.

 

2.        The tenure of the Governing Body-

The tenure of the members of the Governing body shall ordinarly be for a period of three years. However, the Government shall have the authority to terminate the membership of any member including vice-chairman and the member secretary at any time. The chairman, vice-chairman and member secretary and other members are eligible for re-appointment.

 

3.        Powers and Functions of the Governing Body

The Governing Body shall-

a.        Exercise the executive authority of the Society subject to policy directives from the General Body.

b.       Be responsible for the supervision and control of the work of the Society and of its office.

c.        Consider and prepare programmes of the Society and specific projects for submission to the General body.

d.       Frame its regulations, bye laws, rules of procedure

e.        Draw up the annual budget of the Society and submit it for approval to the General body

f.         Prepare the annual report and statement of accounts of the society for the consideration of the General body

g.       Subject to approval of the General body incur expenditure on the establishment as a whole to create such posts as it may consider necessary for carrying out the work of the Society and prescribe the terms and conditions of appointment to those posts.

 

12.     Resignation and removal of members of the General body and Governing body:-

       

        Members shall cease to be members of the General body or Governing body if:-

a.        They are removed by an order of the Government

b.       They die, resign, become of unsound mind, become insolvent or is convicted of a criminal offence involving moral turpitude or

c.        They do not attend three consecutive meetings without prior leave of the Chairman

d.       Any non-official member may resign by giving notice to the Chairman and his/ her resignation shall be effective from the date of its acceptance.

e.        The member of the General body, if happens to be a member of the Governing Body, shall cease to be a member of the Governing Body as and when he she ceases to be member of the General body.

 

13.     Meeting of General Body and Governing body:-

i.         The meeting of the General body shall be held at least once in one year and that the Governing body at least four times a year.

j.         Meeting of both bodies shall be chaired by the Chairman and in his absence Vice- Chairman shall preside. In absence of both, any member as selected by the General body or the Governing Body, as the case may be shall preside

k.        One-fourth of the existing members of each body will constitute quorum and resolutions will be passed with majority of the members present and voting

l.         The chairman may convene a Special General body meeting whenever he thinks fit after issuing of due notice.

m.      The chairman shall convene a special meeting of the General body on the written request of not  less then one fourth of the total number of members.

n.       At all special general body meetings, no subject other than stated in the notice shall be discussed, except with the permission of the Chair.

o.       Any official members of the General Body can authorize any offices subordinate to him to attend meeting on his behalf. No non-official member shall be permitted to attend any meeting through a proxy or authorized person. Member- Secretary shall convene the meeting of the two bodies giving at least 10 days notice of the same. However, in urgent situations, such meetings can be convened at a short notice, as the Chairman may feel proper and necessary.

p.       The procedures to be followed in the conduct of business of the General body and Governing body will be decided by the Chairman or the member authorized on his behalf to preside over the meeting as the case may be and decisions of the presiding authority of such meetings shall be final.

q.       The minutes of meetings of both the bodies shall be circulated among the members giving 10 days notice and if no objection is received from majority of the members regarding any or all resolutions within the aforesaid period, the concerned resolutions or minutes, as the case may be shall be deemed to have been confirmed

       

 

CHAPTER III

 

OFFICE BEARERS OF THE SOCIETY AND THEIR POWERS AND FUNCTIONS:-

 

14.     Meeting of General Body and Governing body:-

i.         The Chairman of the General body / Governing body shall have overall control and supervision over the administration of the Society and all the officers and employees of the Society will be subordinate to him.

j.         He shall exercise the powers of the General body or the Governing Body, as may be delegated to him from time to time.

k.        Overall financial and administrative powers of the Society are vested in him and he may delegate any of such powers to the Member . Secretary.

 

15.     POWERS AND FUNCTIONS OF THE MEMBER

SECRETARY

i.         He shall be entitled for salary, renumuration and other perks from the funds of the Society as may be decided by the General body subject to approval of the Government.

ii.        Subject to the control, supervision and direction of the respective body, the Member Secretary, shall:-

a.              Supervise and control the financial and executive administration of the Society and perform such duties and functions as required for the proper functioning of the whole administrative machinery of the Society

b.             Perform such duties and functions as conferred upon him in these rules and regulations or delegated to him by the General body, the Governing body and the Chairman.

c.              Give effect to all resolutions of the Governing Body and the General body and put all matters requiring resolutions of the Governing Body and the General Body before Governing body / general body.

d.             Exercise supervision and control over all Officers and servants of the Society and dispose their salary, leave and other matters pertaining to their service conditions.

e.              Represent the Society in all matters, such as, defending in Court of Law, filing suit, dealing with Governments, defending the interests of the society etc.

 

 

CHAPTER IV

OFFICERS AND SERVANTS OF SOCIETY

 

 11.  Recruitment of Officers and servants of the Society and their service conditions

i.         The General body shall create any number of posts as may be required from time to time.

ii.        The Officers and servants of the Society shall be recruited from the following sources:-

a.              Appointed by the Government on deputation or assigning additional charge

b.             Brought on deputation from the Government, Central Government and semi-Government bodies.

c.              Absorbing any employee  of the Government , Central Government and semi- Government bodies.

d.             By direct recruitment on regular salary, daily wage, part-time or contract basis.

e.              By promotion from among the existing employees

f.               Absorbing existing staff

g.             Recruitment and service conditions of the employess of the Society shall be governed by the rules framed by the General Body of the Society under clause 5(3) (e) and till the rules and regulations in that regard are framed by the Society, that the employees of the society shall be governed by the corresponding recruitment rules and conditions of service applicable to equivalent Goa Government employees, subject to such limitations and restrictions which may be imposed by the Governing Body.

 

12.          Functions, duties and responsibilities of the Officers and servants of the Society:-

a.        All the Officers and servants of the Society shall be under the administrative control of the Member Secretary

b.       Their duties and responsibilities shall be fixed /assigned by the Member Secretary from time to time.

 

 

 

 

CHAPTER V

FUNDS OF SOCIETY

 

13.           Sources of Funds:-  All moneys received by the Society by way State and Central Government  grants or by any other source, trade and business, donations and contributions from public institutions, Bank interest, sale proceeds of properties etc shall constitute the end of the society.

14.          Management of the Fund:- The funds of the Society shall be managed by the Member- Secretary by opening accounts in banks and maintaining the Registers of receipt and expenses.

15.          Fixed Deposits and Loans:- The Member . Secretary shall be empowered to keep any amount of money of the Society in fixed deposits of Bank and shall be empowered to obtain loans, if required, against such deposits after obtaining approval of  Governing body.

 

 

CHAPTER V1

MISCELLANEOUS

16.           Annual Report:- An annual report of the proceedings of the Society and the work undertaken during the year and audited statement of accounts, shall be prepared by the Society and after its approval by the Governing Body and the General body shall be forwarded to the Government for its perusal and directions if any.

17.          Amendment of Rules and Regulations:- The General body may amend any of these rules or adopt new rules and regulations on its own or on recommendation of the Governing body.

18.          Service of notices, letters etc addressed to the members of the General and Governing bodies:-

When any notice, letters minutes of meeting, etc is required to be served upon any member of the General  and Governing body, such service shall be effected as follows:-

a.  By service through special messengers to the member or any person at his residence or Office or

b. By post in .Under Certificate of Posting. or .Registered Post.

19.           Resolutions of the Governing Body by Circulation:- If it is felt necessary, the Chairman may pass any resolution of the Governing Body by circulating it among majority of two third of the total members of the Governing Body.

20.          The Operation of the Accounts of the Society:- The accounts of the Society shall be operated jointly by the Member Secretary and anyone of the following members:- 1. Chairman 2. Any member nominated by the Governing Body.

21.          Dissolution of the Society:- The General body of the Society may dissolve the Society may dissolve the Society, if felt necessary by taking a resolution in the meeting of General body by majority of two third of total members of the General body of the Society.
